1. Introduction

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Student," "Institution," or "you") and BytesWrite ("BytesWrite," "we," "us," or "our") regarding your access to and use of the UPLIFT AI platform and related services.

  • Educational Institution: Colleges, universities, and academic organizations using UPLIFT AI for student career services.
  • Student User: Individual students accessing UPLIFT AI through their educational institution.
  • Career Opportunities: Internships, job postings, training programs, and professional development resources.
  • User Content: Profiles, resumes, applications, and other content submitted by users.
  • Service Data: Analytics, usage patterns, and institutional performance metrics.

3. Service Description and Scope

UPLIFT AI offers a comprehensive suite of services that empower students, educational institutions, and industry partners to bridge the gap between academia and employment. Its core modules are designed to facilitate seamless career development, skill enhancement, and institutional insight.

4. User Obligations and Responsibilities

To ensure a safe, productive, and respectful environment for all participants, UPLIFT AI outlines specific responsibilities for its users. These obligations are designed to protect user data, promote integrity, and uphold the platform’s mission of career readiness and educational support.

  • Maintain accurate student data and placement records within the system.
  • Comply with all relevant data protection and educational privacy regulations.
  • Support students in their career development through mentoring and guidance.
  • Actively update institutional contacts, employer links, and program resources.
  • Monitor student progress and encourage participation in training and placements.
All Users
  • Use the platform and its services in compliance with applicable laws.
  • Maintain account security and confidentiality of login credentials.
  • Respect the rights, data, and privacy of all users on the platform.
  • Refrain from abusive, discriminatory, or disruptive behavior.
  • Report any misuse, bugs, or suspicious activity to platform administrators.
  • Comply with UPLIFT’s acceptable use and ethical conduct policies.

4.1 Prohibited Activities:

  • Creating false profiles or misrepresenting academic or professional qualifications.
  • Attempting to bypass security measures or access unauthorized areas or data within the platform.
  • Using the platform for spam, harassment, or any form of illegal or unethical activity.
  • Sharing login credentials or permitting unauthorized individuals to access your account.
  • Reverse engineering or attempting to copy, replicate, or tamper with platform functionality.

5. FEES AND PAYMENT

Unless otherwise specified, all fees are non-refundable, exclusive of applicable taxes, and payable in the currency indicated in the Order Form.All subscription fees are payable in advance. Payment is due within thirty (30) days of the invoice date unless otherwise stated. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law. BytesWrite reserves the right to suspend Services for non-payment following fifteen (15) days’ prior written notice.BytesWrite may revise its fees for renewal terms by providing at least sixty (60) days’ prior written notice. Any increase in fees during an active Subscription Term will require your prior written consent.

  • Subscription Fees are charged in advance for each term, based on the number of users, modules, or a flat fee as specified in your Order Form.
  • Implementation Fees (including setup, configuration, data migration, and custom development) are invoiced upon milestone completion.
  • Training and Support Fees, if applicable, are invoiced upon service delivery.
  • All fees are exclusive of taxes, duties, and other governmental charges, which are the customer's responsibility.
  • Fees are generally non‑refundable and non‑cancellable, unless explicitly stated otherwise in these Terms.
  • Invoicing Schedule: Subscription Fees are invoiced at the start of each Subscription Term; other professional services are invoiced upon milestone completion or delivery date.
  • Due Date: All invoices are due within thirty (30) days of the invoice date, unless otherwise stated in the Order Form.
  • Late Payments: Unpaid amounts will incur interest at 1.5% per month or the maximum rate permitted by law, calculated daily.
  • Service Suspension: If any undisputed payment is more than fifteen (15) days past due, we may suspend access to the Services after providing ten (10) days’ written notice.
  • Collection Costs: You agree to reimburse us for reasonable costs incurred in collecting overdue amounts, including collection agency fees and attorneys’ fees.
  • Renewal Adjustments: We may modify Subscription Fees for any renewal term by providing at least sixty (60) days’ prior written notice before the end of the current term.
  • Consent Requirement: Fee increases during an active term will only be implemented with your express written agreement.
  • Documentation: All fee changes will be reflected in an amended or new Order Form. In the absence of such documentation, existing fees remain unchanged.

6. Intellectual Property Protection

BytesWrite retains full ownership of the UPLIFT AI platform, including its software, algorithms, and training content. All enhancements and proprietary systems are part of its intellectual property. At the same time, students and institutions maintain ownership of their data. BytesWrite only uses this content as needed to operate and improve the service. Feedback submitted by users may be used to enhance the platform.

  • Training content, assessment frameworks, certification modules, and instructional materials are part of BytesWrite’s intellectual property.
  • UPLIFT’s brand name, logo, user interface design, and trademarks are protected and fully owned by BytesWrite.
  • Unauthorized copying, modification, or redistribution of the platform or its components is strictly prohibited.
User Content Rights
  • Students retain ownership of their personal data, profiles, resumes, and career-related submissions on the platform.
  • A limited, revocable license is granted to BytesWrite to use submitted content strictly for service functionality and performance enhancement.
  • User feedback, suggestions, and feature ideas voluntarily shared may be used by BytesWrite without obligation and become its property.
  • Educational institutions maintain ownership of institutional data, student records, and configuration settings uploaded to UPLIFT AI.
  • Users are responsible for ensuring uploaded content is lawful, accurate, and free of third-party intellectual property violations.
  • All data handling remains subject to BytesWrite's Privacy Policy and applicable data protection regulations.

7. Privacy and Data Protection

UPLIFT AI is committed to protecting user privacy through strong data governance and security practices. All personal, academic, and usage data is collected solely for educational and career-related purposes, with clearly defined retention periods. BytesWrite adheres to the DPDP Act, 2023 and other global standards, ensuring that data is stored securely, accessed responsibly, and never misused.

10. Limitation of Liability

UPLIFT AI by BytesWrite provides a technology-driven platform to facilitate career development and placement. While the platform aims to deliver a high-quality experience, BytesWrite’s liability is limited in scope. It does not guarantee job placements or specific outcomes, as career results depend on various external factors. The platform disclaims responsibility for indirect losses, except where legally mandated, such as in cases of data breaches or willful misconduct.

11. Termination Provisions

This section outlines the scenarios under which access to the UPLIFT AI platform may be terminated, either by users or BytesWrite. Termination can occur for convenience, breach of contract, non-payment, or institutional withdrawal. Each type includes specific notice periods and data handling procedures to ensure users have adequate time for transition, with student data handled securely and in accordance with institutional preferences.

13. Governing Law and Jurisdiction

BytesWrite follows a transparent change management process to ensure users are well-informed about updates to its terms and platform functionality. For any material changes, users are provided with at least 30 days of advance notice via email and in-platform notifications. Minor updates are communicated through a summarized notice upon the user’s next login. Institutional customers receive dedicated updates for significant policy or functional changes. By continuing to use the platform after changes take effect, users indicate their acceptance of the revised terms and conditions.
